Klarna announces acquisition of BillPay
STOCKHOLM/BERLIN, February 6, 2017 - Klarna today announces the acquisition of German online payment company BillPay, strengthening its position as one of the leading payment providers in Europe and accelerating its growth in the region.
BillPay is one of the leading German online payment providers and was founded in 2009. It’s headquartered in Berlin, with over 140 employees, offering its services and products in Germany, Austria, Switzerland and the Netherlands.
Sebastian Siemiatkowski, co-founder and CEO of Klarna, commented:
“We are excited to be working with BillPay and their talented team in Berlin. By combining our skills and expertise, and leveraging BillPay’s deep market knowledge, product features and consumer offering, we are confident that we can offer even more innovative payment services to our customers.”
“Germany is one of the largest e-commerce markets in the world, and we are delighted to have strengthened our position here with this acquisition.”
BillPay CEO, Nelson Holzner, commented:
“We are thrilled to join the Klarna team. Together we will have a market leading position in Germany, Austria and Switzerland, and will be able to offer our merchants and users highly attractive payment options in more international markets in an ever increasing cross-border e-commerce environment.”
The acquisition is subject to approval by the Federal Financial Supervisory Authority in Germany.
Klarna is one of Europe’s leading payments providers, that aims to make the payment process simple, smooth and safe for customers and its merchant partners. The company founded in 2005 was recently named as one of the top disrupter companies in the world by CNBC.
Klarna works together with 65,000 merchants to offer payment solutions to more than 45 million users in Europe and North America. Klarna has 1,500 employees and is active in 18 countries.
BillPay is one of the leading German online payment providers, licensed by BaFin under the Payment Services Supervision Act (ZAG) and was founded in 2009. It’s headquartered in Berlin, with over 140 employees, and has become an international company offering its services and products in Germany, Austria, Switzerland and the Netherlands.
BillPay allows online shops to offer invoice, direct debit and flexible pay later instalment so that customers can easily, safely and conveniently pay with their favorite payment method while shopping online. For merchants BillPay guarantees full payment and accepts the complete risk. More than 5,000 online shops and 12 million customers are using the BillPay services.
Instalment for travels: Amadeus and BillPay enter into a partnership for travel agencies’ stationary distribution As of the first quarter of 2017 customers of travel agencies will be able to easily and simply pay their travel bookings in instalments.
As of the first quarter of 2017 customers of travel agencies will be able to easily and simply pay their travel bookings in instalments – via Amadeus Tour Market: Amadeus Germany and Berlin-based online payment provider BillPay will be incorperating the instalment purchase "PayLater" as a new payment option for selected organisers into their TOMA-mask.
The user-friendly and lean process ist fully integrated into the booking procedure. After entering the usual action "D1" for direct collection, the customer will be able to select "PayLater" as a payment option. The transparent payment model (1 percent per month) and flexible terms (three, six or twelve months) simplify the consultation. During the course of the transaction, BillPay requests name, address, date of birth and bank details. BillPay makes the risk decision in averagely less than a second – at any time of day. The payment can be carried out before or after the commencement of the trip.
"By carrying out instalment payment through 'PayLater', travel agencies are not only expanding their services – they are also given an opportunity for additional sales. According to our analyses 'PayLater' increases the average travel price by more than 20 percent. At the same time we take the complete risk and take care of the receivables management for travel agencies and tour organisers, grant a 100 percent payment guarantee and protection against chargebacks and fraud", says Dr. Maximilian von Elsner, Chief Sales Officer at BillPay. "Already, we are working with more than 5,000 business partners. We are expanding our involvement in the travel industry because, according to a GfK-study, financing of travel represents 7 percent of German consumer credits. One in four German customers expresses interest in travel financing."
"Nowadays, consumers increasingly use the option of simple and convenient payment by instalments for their purchases, e.g. instance furniture and household appliances. One can also observe this demand when it comes to travels. However, so far there has been a lack of comparable financing proposals", says Uta Martens, sales director at Amadeus Germany. "Together with BillPay, Amadeus Germany is now user-friendly integrating instalment into the proven travel agency processes, so that neither travel agencies nor customers become aware of the complexity involved in a credit approval process."
BillPay is licensed from the German Federal Financial Supervisory Authority (BaFin) under the Payment Services Supervision Act (ZAG).
Instalment with „PayLater“ will be available via Amadeus Tour Market as of the beginning of 2017 for the tour organisers JT Touristik, FERIEN Touristik and For You Travel.

Handelsblatt about BillPay: BRAZEN ONLINE FRAUD
Online merchants rarely speak about it so as not to encourage fraudsters, but organised online fraud costs German companies an extortionate amount of money every year. Companies continuously come up with new strategies to counter these online criminals. The Handelsblatt newspaper interviewed BillPay CEO and payments expert Nelson Holzner on the subject of fraud prevention where he talks about the fine balance that online shops have to find to reduce fraud.
Der Tagesspiegel: Shopping? Yes! Paying? Maybe!
Reliable and punctual payments for online shopping sprees are not always guaranteed. Outstanding amounts must be claimed, but it's not always easy. When companies start the collection process they have to find the balance between heavy handedness and encouragement, using a tone that is determined yet friendly. BillPay goes a step further by taking on the default risk on behalf of its online trading partners, managing the risk and collection process.
In the black and robust growth in 2015: Payment provider BillPay among Germany’s 100 fastest-growing companies Payment provider BillPay among Germany's 100 fast growing companies
– 300,000 new customers per month
– In the black for the first time, right on schedule
– 5000 companies use payment services
BillPay, the leading German provider for protected payment by invoice, part payment and direct debit, has once again seen some robust growth over the past year. The Berlin-based FinTech company recorded around eight million customers at the end of the year (2014: 4.7 million). At present, around 300,000 new customers are joining every month, shopping with BillPay at over 5000 trade partners. Trade partners include Eventim, Fahrrad.de, Lacoste, notebooksbilliger and DriveNow. Transactions are carried out via the company on average every 2.5 seconds – that's 57% more than even the previous year. In 2015, around 120 employees from 32 countries generated a turnover that reached the double-digit million range (an increase of 55% compared to 2014) and – right on schedule – the company was in the black for the first time. According to a market survey conducted in 2015, the FinTech company was also ranked among the 100 fastest-growing companies in Germany, ahead of firms such as Zalando, Tom Tailor and Payone. It is Germany's leading online payment provider for payment by invoice, part payment and direct debit.* BillPay was founded in 2009 by Dr. Nelson Holzner and operates in Germany, Austria, Switzerland and the Netherlands.
The business model: Thanks to BillPay, customers are able to buy products at online stores and in the stationary retail sector by invoice, direct debit or in instalments. The procedure is straightforward, as only few details are required from the customer This is particularly important when purchasing via a tablet or smartphone. ""This creates trust in the business and leads to an increased turnover of up to 30%,"" says Dr. Holzner. If desired, customers can visit the ""My BillPay"" portal to manage their orders and defer their payment deadline, or – unlike banks – they can even change their payment terms to an instalment plan. And they can do so around the clock.
Since September 2015, BillPay has been licensed by the Federal Financial Supervisory Authority (BaFin) for financial transfer business in accordance with the Payment Services Supervision Law (ZAG). Risk management is conducted based on algorithms: it only takes three seconds to check the customer's solvency and approve the purchase. ""No bank can do this, just like that,"" states Holzner. ""Our system is a data-based, fully automated proprietary risk management that requires very little consumer data.""
How it works: The customer purchases the product, service or trip online, by app, by phone or at the counter, and the payment goes to BillPay. However, the retailer, service provider or travel agency employee doesn't have to worry about a thing. BillPay undertakes all the receivables for a fee. The trade partner always receives 100% of its money, regardless whether the customer pays or not. The Berlin-based company takes on the complex task of managing risk and receivables. Holzner: ""This includes sending personalised letters to buyers who have gone into arrears, so that the customer relationship remains good despite their reminder notice."" The programming interface API, standard module or payment service provider can be used to integrate this into the retailer's shop and merchandise management system at no great cost.
BillPay wishes to maintain this high growth rate in 2016. To do so, it will be expanding its range of payment in instalments offers, focusing particularly on special offers for holidays abroad. Background: According to a GfK study, 7% of Germans' consumer credit is spent on travel. ""With BillPay, this will be possible quickly and easily, and even around the clock when booking online – unlike customary credit practices,"" pledges Nelson Holzner.

The campaign to find new talent: FinTech companies appeal for skilled employees The three FinTech companies smava, BillPay and FinLeap have created a grant to attract young talent to this fast-growing industry.
The three FinTech companies smava, BillPay and FinLeap have created a grant to attract young talent to this fast-growing industry. In doing so, they are addressing an urgent need: the rapid growth of German FinTech companies means that a huge shortage of young talent is highly likely in the next few years.
The industry is forging ahead: in 2014 alone, around $12 billion were invested in the industry – that's a good three times as much as the previous year. In global comparison, the European FinTech market has recorded the strongest growth in investment.
However, this success presents a challenge for recruitment departments: around 75% of FinTech companies are anticipating a staffing issue over the next three years, as vacant positions will become increasingly harder to fill.
With the grant, smava, BillPay and FinLeap are calling on students from all disciplines to submit an essay on the future of technology-based financial industry. What each author writes about is entirely up to them: forecasts, market analyses or business ideas, those who are able to present a vivid, intelligent and profound illustration of their thoughts on the FinTech industry will get the chance to win one of the top three places.
Authors of the winning essays will receive €3000, €2000 or €1000 respectively. The final date of submission is 29th February 2016.

BillPay wins second place at the 2015 Digital Banking Awards Handelsblatt honors BillPay with the award for outstanding digital innovations
The Berlin-based financial technology company BillPay was voted one of three finalists at the Digital Banking Awards 2015 in the category ""FinTech"", and went on to scoop second place. The trade journal honoured outstanding digital innovations as part of its annual summit ""Shake-ups in Banking"" . As part of a Pecha Kucha pitch, the three start-up finalists BillPay, WeltSparen and Cash Payment Solutions, previously selected by a jury, were put to a public vote on 2 September 2015. The event is one of the most important sector meetings in the German banking world.
Dr. Christoph Samwer, jury member and co-founder of the Berlin FinTech company Lendico, says: ""The decision to pick BillPay as a finalist in the 2015 Digital Banking Awards was easy: the company is a model example of digital disruption in the industry due to its leading position in the payment market. Part payment is becoming increasingly sought-after and offers retailers all sorts of potential. At the same time, clients want to save as much time as possible when paying and they don't want to enter more details than they have to. BillPay, with its PayLater option, is the perfect solution.
Der Tagesspiegel on BillPay in: “The bigger the choice, the easier to pay” The CEO of the online subsidiary of the CBR Fashion Group has nothing but praise for the electronic payment systems used by its online shop street-one-de
The CEO of the online subsidiary of the CBR Fashion Group has nothing but praise for the electronic payment systems used by its online shop street-one-de: "They work smoothly and are tailored to our circle of customers." One such system hails from payment service provider Billpay. "It lets you shop online and pay by invoice, debit or in instalments. Only very few e-payment service providers offer the latter.
Börsen-Zeitung on BillPay in: “BillPay gets BaFin approval” BillPay has been awarded a license by the German Federal Financial Supervisory Authority (BaFin) to offer money transmission services under the Payment Services Supervision Act (ZAG).
Frankfurt – The Berlin-based payment service provider, BillPay, that belongs to the Wonga Group, has been awarded a license by the German Federal Financial Supervisory Authority (BaFin) to offer money transmission services under the Payment Services Supervision Act (ZAG). This includes payment services “where neither the person paying or the payee need an account held in their name”.
BillPay offers consumers and retailers in Germany, Austria, Switzerland and the Netherlands a variety of payment methods. These include a pay by invoice option, a direct debit option and their PayLater option where the customer is able to pay in instalments. To date BillPay has more than 5 million customers and more than 5000 trading partners including big names such as Esprit, Obi, Lacoste, Eventim and My Fernbus. The company employs over 120 employees.
BillPay was initially affiliated with Rocket Internet and became part of the Wonga Group in 2013. The British group specialises in short-term loans with high interest rates, which, according to an example given on their website, generates almost 300% per annum.
FinTech company BillPay receives BaFin licence
"Young Berlin-based financial enterprise BillPay has been granted a licence from the Federal Financial Supevisory Authority (BaFin) as a provider of protected payment methods in accordance with the Payment Services Supervision Law (ZAG).
BillPay offers consumers and trading companies the opportunity to process payments using methods such as payment by invoice, direct debit and the PayLater part payment plan. The process is quick, easy and secure, with no risk of default. With over 5 million customers and more than 5000 trade partners, the company tops the German market leaderboard in the payment services segment. ""Trust and security is of vital importance for consumers when it comes to payment processes,"" says Dr. Nelson Holzner, CEO and founder of BillPay. ""However, the ZAG licence sends a strong signal to our trade partners, for whom we often process over 50% of their turnover, that we are trustworthy. And that's because we are the first company in our market to succeed in meeting the high requirements of the German Fiancial Supervisory Authority for reliable processes, structures and security mechanisms.""
With the ZAG, German lawmakers have implemented an EU guideline. The law is designed to provide a hitherto fairly unstructured market with uniform codes of conduct and to make funds safer and more bankruptcy-proof, particularly for private customers and retailers, through the use of stringent standards.
Particularly when shopping on the internet, fewer and fewer funds are being paid directly from the client to the retailers due to the risk of default or fraud. Instead, it is service providers that are increasingly assuming the task of credit assessment and payment processing. The retailer can dispatch its goods immediately and receives the money from the service provider. ""Without the security mechanisms checked by the BaFin, there is a risk that both customers and retailers will experience a total loss of their respective funds, even despite the intervention of a service provider. BillPay is a provider of protected payment methods such as payment by invoice, direct debit and payment by instalment, and the ZAG licence means that this kind of total loss is impossible,"" says Holzner.
Payment services are among the business fields in which the digitalisation of the finance industry is racing ahead. Young companies are now successfully offering their products outside the traditional banking landscape. BillPay identified this trend very early on and is now one of very few FinTech companies to be a regulated payment institute itself, thanks to being awarded the ZAG licence.

Data from payment provider BillPay also reveal some geographic particulars: most bookings for long-distance coaches come from the federal states of Baden-Württemberg and Bavaria, with cities such as Berlin, Munich, Hamburg and Frankfurt leading the way.

The acquisition significantly accelerates Wonga’s development into a broad-based, digital finance group and will also speed the development of its PayLater online retail product, together with the company’s international expansion.
BillPay is a provider of e-commerce payment and financing solutions in Continental Europe, principally in Germany, Europe’s second biggest online retail market. The company also operates in Austria and Switzerland and has recently expanded into the Netherlands. Founded in 2009, BillPay has around two million end-users and works with over 3,500 online shops. The business is a key payments partner with a number of the largest e-commerce merchants in Europe – including CBR Group (CECIL and Street One), Runnerspoint, Fahrrad.de, DriveNow and Home24 – across a broad range of segments from travel and fashion to electronics and furniture. BillPay offers people a fast and secure way to shop online with a range of different payment methods, from invoicing to instalment credit.
The combination of Wonga and BillPay will create one of Europe’s leading digital finance and payment systems businesses, with an immediate presence in seven major European markets. The acquisition follows the launch of Wonga’s consumer loans service in Poland and the purchase of an online, short-term consumer credit business in Spain during the past 12 months. BillPay’s service also complements PayLater, Wonga Group’s own online retail payment service, which launched earlier this year and now provides a unique checkout option, based on simple and low-cost instalment payments.
Nelson Holzner, the founder and CEO of BillPay, together with senior colleagues, will remain within their current roles as part of the enlarged group. Other terms of the transaction are not being disclosed.
Errol Damelin, founder and chief executive of Wonga, said: “The combined Wonga and BillPay business will consolidate our position as a pioneer in the financial revolution, offering customers a range of bold new payment and credit solutions for the modern world. “As well as giving Wonga Group a presence in Europe’s second largest online retail market, this continues our on-going transformation into a fully international, digital finance business with operations across three continents and more than three million customers.”

Notes to editors
Wonga Group is a ground-breaking digital finance company based in London. Since 2007 when the company launched its first website, wonga.com, it has gone on to make more than seven million loans via the web and mobile. The company’s products are designed to solve customers’ occasional cash flow problems in a short-term and completely responsible way.
Customers can choose how much to borrow (up to £400 for first time applicants) and for how long, up to a month. The average first-time loan is roughly £180 for 17 days with interest working out at 1% per day.
The company uses the world’s first straight-through risk and decision platform. Wonga’s real–time systems allow funds to be made available to consumers within 15 minutes. The majority of first-time loan applicants are declined and customers are not encouraged to extend their loans.
BillPay makes online-shopping safe, easy and convenient for merchants and customers with the secure payment methods of invoicing, instalment credit and direct debit. Using the BillPay payment methods is a great way for merchants to increase their conversion rate and offer customers a better shopping experience, benefitting from BillPay’s 100% default protection guarantee.
For customers, the beauty of using BillPay lays in the simplicity of the products. In addition to payment solutions, BillPay offers attractive benefits to customers via the exclusive BillPay VISA Card and the BillPay loyalty program.
PayLater is an innovative online payment option, enabling people to spread the cost of online shopping in a convenient and controlled way. Available on signed-up retailer websites, PayLater allows people to split the cost of their shopping over three months for a one-off, upfront fee. The purchase price is then split equally over three payments from the customers’ debit card – e.g. three payments of £100 on a £300 basket.
The service, which is easily integrated onto the product and payment pages of a retailer’s site, helps increase average basket sizes and drive incremental sales. Powered by the Wonga Group’s award-winning, real-time decision technology platform, people can buy goods up to £1,000. Lending decisions will be almost-instant, thanks to the company’s proven use of automated decision algorithms and purchased data.

“We are experiencing strong demand for our secure payment methods, which is why we confidently take on the international market. The markets in neighboring countries, Switzerland and Austria, are not only interesting for us, but also for our various partners. According to the e-commerce Report 2010 from the University of Northwestern Switzerland, the average sales growth of Swiss e-commerce companies stood at 14%, which is well above the growth in consumer spending.
Moreover, Austria, with its 80% internet penetration, is one of the most online affined markets worldwide. Six out of ten Austrians have already ordered online, which is about 300,000 more people than a year ago, as a survey of the Market- and Opinion Research Institute INTEGRAL revealed.
Furthermore, we see additional growth potential in the B2B market. According to a survey by the Federal Ministry of Economics and Technology, the market potential in B2B e-commerce reaches more than 600 billion euros. Simultaneously merely a few market participants offer Purchase via Invoice as a payment method at their e-commerce platform. BillPay is the first on the market to offer 100 % secure Purchase via Invoice for business customers.” Says Thies Rixen, Director of BillPay GmbH.

Even with smaller shopping carts, there is often the wish for attractive financing. Purchase by Direct Debit without default risk with BillPay
As of now, online merchants can offer their customers Purchase by Direct Debit in addition to Purchase by Invoice. BillPay, the independent partner for online shops, takes over the entire risk of default.
The Purchase by Direct Debit is, following Purchase by Invoice and credit card, the third most popular payment method of German online shoppers (ibi Research 2008).
“Customers know and appreciate Purchase by Direct Debit from traditional stationary trade and also want to shop online quickly and easily by Direct Debit,“ says Dr. Nelson Holzner, founder and CEO of BillPay. Customers neither have to register for the Purchase by Direct Debit nor have to enter any sensitive information such as PIN and TAN online. In addition, the order is completed immediately.
So popular the Purchase by Direct Debit is, so risky it is traditionally for online merchants: There is a high risk of defaults and costly return debits due to lack of account coverage, because of extinction of account or fraud. BillPay completely takes care of these risks for online merchants.
Pursuant to this, Purchase by Direct Debit supplements BillPay’s current offer, Purchase by Invoice, with another attractive, but for merchants risk free payment method. The customer remains throughout the entire process on the side of the merchant. Thus the so-called tracking remains intact, which allows the trader to analyze the buying process and customer channels in order to coordinate its marketing activities accurately.
As with Purchase by Invoice, BillPay offers its partner-shops the integration of Purchase by Direct Debit via free and self-developed software modules. Currently for Purchase by Direct Debit software modules are available for shop systems Magento and xt:Commerce; modules for other shop systems will follow shortly. Alternatively BillPay may be integrated via an API. BillPay’s telephone IT support assists merchants by their integration free of charge.

For this reason, we deliberately omitted the customer registration at BillPay and the reconfirmation by the customer.

Finally, with BillPay also the so-called tracking is maintained, which allows merchants to accurately analyze the purchase process and customer channels in order to precisely align their marketing efforts.
With BillPay it is now easier and more attractive for online merchants to offer their customers Germany’s most popular payment method, Purchase by Invoice, which increases their sales between 20 and 30%.
